Section 1. Title: This document shall be known as the By Laws of the Catawba County Republican Men's Forum (CCRMF or RMF).
Section 2. Name: The name of the organization shall be the Catawba County Republican Men's Forum (CCRMF or RMF).
Section 3. Purpose: The purpose of this organization shall be:
(a) To promote the Republican Party, her principles and candidates in Catawba County and foster party loyalty.
(b) To serve as an advocate for the betterment of Catawba County.
(c) To provide a forum for the discussion of issues and problems in government;
to advance practical political education through discussion and debate; and to encourage citizen participation in politics.
(d) To conduct fund raising efforts as a method of contributing financially to the Catawba County Republican Party and Republican candidates.
(e) To bring qualified speakers before the membership as a means of heightening Public awareness of conservative issues.
Section 1. Eligibility: The membership of this organization shall be open to all male registered Republican voters who reside in, are employed in, or attend a college or university in Catawba County and who accept the purpose outlined in Article I shall be eligible for membership. Membership shall be for one calendar year.
Section 2. Elected Officials: Republican elected officials in the state of North Carolina who are male shall be eligible for active membership in this organization.
Section 3. Associate Membership: An associate membership may be established for all others.
Section 4. Honorary Membership: Members and ex-members of the organization having done distinguished service for the organization or the Republican Party may become honorary members by a vote of the membership.
Section 9. Secretary: He shall retain custody of all official records, including the bylaws, rules, resolutions, and all filed reports. He shall keep an accounting of the Board of Directors and general membership meeting. The Secretary shall keep a current, classified list of names and addresses of all members of the club. In addition, the Secretary shall supervise all written communications within the organization. The Secretary shall also maintain a calendar of events and coordinate publication of a quarterly newsletter. The Secretary shall also perform other duties at the direction of the President.
Section 10. Treasurer: The Treasurer shall keep the financial records of this organization, disburse funds at the discretion of the Board of Directors, disburse funds at the discretion of the President if less than $100.00. If funds exceed $100.00 the Treasurer may contact the Board of Members by telephone for concurrence or wait until the next Board Meeting in order to receive approval of funds. The Treasurer shall also report in detail, at each meeting and at other such times as the President may require the financial condition of the organization. The Treasurer shall send notice of unpaid dues to members by March 1. He shall prepare an annual budget with input from the Board of Directors;
coordinating with each officer responsible for any income or expense. In addition, he shall prepare an annual report for audit. He shall file reports as required by the North Carolina State Board of Elections under the campaign reporting law. He shall maintain a mailing address for the Forum, which is to be communicated to the North Carolina Board of Elections and all other interested parties. The Treasurer shall also perform other duties at the discretion of the President.
Section 11. Records: All officers shall maintain and preserve all their records and files and deliver same to their respective succeeders at a time set by the outgoing president it is prior to the January meeting.
Section 1. Standing Committees: There shall be the following standing committees:
Bylaws, Public Relations, and Philanthropy. The standing committees shall meet periodically as needed upon call of their chairman and make reports as needed or requested by the President. The committees shall also be responsible for assisting the President in their respective areas of action.
(a) Bylaws: The Bylaws Committee shall act as a study group for possible bylaw changes and to plan for and interpret, it to the Board of Directors. The committee shall bring before the membership changes, which have been approved by the Board of Directors.
(b) Public Relations: The Public Relations Committee shall work closely with each officer to promote all chapter projects. The committee shall promote our activities internally through the quarterly Newsletter and at membership meetings. In addition, the committee shall promote activities externally through press releases to all media outlets, including television, radio, print,. and the Internet. The committee shall also work with the national and state
federation, party headquarters, the Republican National Committee to promote republican programs, philosophies, and candidates. The committee shall actively seek out potential members, working to add them to the roster.
(c) Philanthropy: The Philanthropy Committee shall develop and implement a community development program for the organization.
Section 2. Special Committees: There shall be the following special committees: Audit and Nominating. Special committees shall meet periodically as needed upon call of their chairman and make reports as needed or requested by the President.
(a) The Audit Committee shall arrange for certified inspection of the Treasurer's Records.
(b) The Nominating Committee shall consist of five members in good standing including the chairman.
Section 3. Ad Hoc committees: may be appointed by the President, approved by the membership for specific purpose(s). The committee(s) and its chair shall serve only until the term of the President is completed and serve at the discretion of the President.
Section 4. Records: All committees shall deliver their records and files to then- successor, or to a club officer designated by the President, or to the Board of Directors as appropriate within one month after retiring from office.
Section 1. Membership: The membership of the Board of Directors shall consist of the six officers elected under Article IV, committee chairmen, the immediate past president, and the parliamentarian who shall not vote.
Section 2. Meetings: The Board of Directors shall meet prior to the regular meeting of the Forum as deemed necessary by the president. However, the Board of Directors shall meet no less than once per quarter. Each board member shall be notified of date, time, and place of the next board meeting at least seven days in advance.
Section 3. Quorum: A majority of the Board of Directors shall constitute a quorum to conduct business.
Section 4. Duties: The duties of the Board of Directors shall include the following:
(a) Establish and implement policies for the organization, which have been ratified by the membership.
(b) Give guidance to the president of the organization.
(c) Receive the reports of the officers and of committees.
(d) To conduct the business of the organization.
(e) Approve disbursement of funds in excess of $100.00.
(f) Determine the amount and establish bond for the Treasurer to be paid by the club if necessary.
(g) Exercise general charge and control of affairs, funds, and property of the club.
Section 1. Nominations:
(a) The President shall appoint the Nominating Committee consisting of five members in good standing in September.
(b) The President, subject to the approval of the membership shall appoint the chairman.
(c) The Nominating Committee shall submit one candidate for each elective office in a report to the Forum at the October meeting. Each nominee must give his consent to serve if elected.
(d) The chairman of the Nominating Committee shall report the nominees of the committee and move for the election of its nominees at the Annual Meeting in November.
Section 2. Elections:
(a) Elections shall be at the regular November meeting.
(b) The floor may make nominations immediately after the report of the
Nominating Committee, provided that the consent of the nominee has been obtained in advance.
(c) Members may nominate themselves.
(d) Elections shall be by voice vote, unless there is more than one nominee for any one office. For that contested office, election will be by secret ballot. The Secretary and the Parliamentarian will tabulate present voting members* votes. The nominee with a plurality of the votes wins.
(e) Officers shall be installed at the December Christmas Dinner.
Section 1. Authority: Robert's Rules of Order. Newly Revised shall govern this club in all matters of procedures of the Catawba County Republican Men's Forum in all matters, which are not covered by the Constitution or By Laws.
Section 2. Parliamentarian: the President to rule on questions of order shall appoint a Parliamentarian. The Parliamentarian will serve on the Board of Directors, but in no instance shall be able to vote on business before the board or general membership. Amendments
Section 1. Amendments: The By Laws may be amended by a two-thirds vote of the members present at any regular meeting or a special meeting which has been called for that purpose, provided that notice of the proposed amendment(s) have been given in writing to all members at least one week prior to the time of voting. These Bylaws shall be considered amended, or replaced, by a two-thirds vote of those members present and voting, shall go into effect immediately upon adoption.
