Section 1. Title: This document shall be known as The Constitution of the Catawba County Republican Men's Forum to the North Carolina Federation of Republican Men.
Section 2. Name: This Organization shall be known as the Catawba County Republican Men's Forum to the North Carolina Federation of Republican Men.
Section 3. Purpose: The purpose of this organization shall be:
(a) To promote the Republican Party, her principles and candidates in Catawba County and foster party loyalty.
(b) To serve as an advocate for the betterment of Catawba County.
(c) To provide a forum for the discussion of issues and problems in government; to advance practical political education through discussion and debate; and to encourage citizen participation in politics.
(d) To conduct fund raising efforts as a method of contributing financially to the Catawba County Republican Party and Republican candidates.
(e) To bring qualified speakers before the membership as a means of heightening Public awareness of conservative issues.
Section 1. Eligibility: The membership of this organization shall be open to all male registered Republican voters who reside in, are employed in, or attend a college or university in Catawba County and who accept the purpose outlined in Article II shall be eligible for membership.
Section 2. Elected Officials: Republican elected officials in the state of North Carolina who are male shall be eligible for active membership in this organization.
Section 3. Associate Membership: An associate membership may be established for all others.
Section 4. Honorary Membership: Members and ex-members of the organization having done distinguished service for the organization or the Republican Party may be become honorary members by a vote of the membership.
Section 5. Good Standing: All members shall be considered members in good standing
providing they have met all financial obligations to the Catawba County Republican
Men's Forum.
Officers
Section 1. Elected Officers: The elected officers of this organization shall be: President, 1st Vice President of Programs; 2nd Vice President of Membership; 3rd Vice President of Fund-Raising; Secretary, and Treasurer.
Section 2. Qualifications: All officers shall be members in good standing.
Section 3. Election and Term: Upon vacancy of an elected office, an appointment by the Board of Directors will be made to fill the vacated position until the next election. Officers shall be elected annually and shall hold office for one year, or until then- successors have been elected and their election officially announced.
Section 4. Duties:
(a) The President, Vice Presidents, Secretary, and Treasurer shall perform such duties as usually devolve upon such officers. The President, Vice Presidents, Secretary, and Treasurer shall report in detail at each Board of Directors' meeting and to the membership at each meeting of the organization.
(b) The President is the chief administrative officer of the organization and is responsible for directing its program, coordinating all phases of its operation, and coordinating its services. The President shall: provide leadership and make final executive decisions on all matters of administration not inconsistent with the policy of Board of Directors and the organization; be responsible for vigorous prosecution of the objectives of the organization; preside at the meeting of the Board of Directors of the organization and at the general membership meetings of the organization; carry out the aims and purposes of this organization by utilizing the other officers and designated committees.
© The First Vice President shall assume the duties of the president in the absence of that officer. He shall also be responsible for arranging all programs and house arrangements. The First Vice President shall perform other duties at the direction of the President.
(d) The Second Vice President shall assume the duties of the First Vice President in the absence of that officer. He shall also be responsible for member services of the organization. The Second Vice President shall also perform other duties at the direction of the President.
(e) The Third Vice President shall assume the duties of the Second Vice President in the absence of that officer. He shall also be responsible for all financial aspects of the organization. The Third Vice President shall also perform other duties at the direction of the President
(f) The Secretary shall keep accurate minutes at the meeting of the Board of Directors and at general membership meetings. The Secretary shall also perform other duties at the direction of the President.
(g) The Treasurer shall be responsible for its proper handling and accounting of all money or other valuable property that may be entrusted to his care. In addition, the Treasurer will provide for the safekeeping of all money by depositing with a national or state bank. The Treasurer shall report in writing to the general membership of the organization. The Treasurer shall perform other duties at the direction of the President
Section 1. Membership: There shall be a Board of Directors, which shall consist of the organization officers', the immediate past president, the parliamentarian, and standing committee chairs.
Section 2. Meetings: The Board of Directors shall hold at least one meeting per quarter. The quorum for such meetings shall be considered to be a simple majority of the board members.
Section 3. Duties: The duties of the Board of Directors shall include the following:
(a) Establish and implement policies for the organization, which have been ratified by the membership.
(b) Give guidance to the President of the organization.
(c) Receive the reports of the officers and of committees.
(d) To conduct business of the organization.
(e) Approve disbursement of funds in excess of $100.00.
(f) Determine the amount and establish bond for the Treasurer to be paid by the club if necessary.
(g) Exercise general charge and control of affairs, funds, and property of the club.
The proceedings of this organization shall be governed by all authorities in the following order: the Constitution and laws of the United States of America; the Constitution and laws of the state of North Carolina; the rules and regulations ofCatawba County; the Constitution and By Laws of the North Carolina Federation of Republican Men; The Constitution and By Laws of the Catawba County Republican Men's Forum, her policies, executive discretion, and the current edition of Robert's Rules' of Order.
Section 1. Amendment: Any article or portion of this constitution may be amended,
altered, or repealed at any general membership meeting by a 3/4 vote of the members
present, provided notice of the proposed change is given the members of this organization
at least one month prior to the meeting, and provided a quorum is present at the meeting.
Section 2. Ratification: This Constitution is hereby ratified by the undersigned.
